1. Using the iRecruitment system

This web application, iRecruitment, hosted at i-recruitment.ca, irecrutement.ca and y2cp.com (the "Service") is owned by Y2 Consulting Psychologists Inc. (« Y2CP »), whose head office is at 125 Wellington St., Gatineau, Québec, Canada, J8X 2J1. The use that you (the "Client") make of this service is subject to these Terms of use and all applicable laws, what you are agreeing unconditionally using this Service.

2. Changes to the Terms of use

Y2CP reserves the right to modify or amend the Terms of use applicable to the use of the Service, or impose new conditions at any time. Such changes will be effective as soon they are posted. Any use of the Service after a change has been made to the Terms of use signifies acceptance of the changes.

3. Private life and Content

3.1. Private life

During the use of the Service, the Client can be required to submit certain content to Y2CP (including personal data and that of third parties) or third parties can submit content to the Client by means of the Service (the "Content"). Y2CP cares about respecting personal information. Despite Y2CP's efforts to ensure third parties will not access or obtain personal information concerning you through its Service, complete confidentiality and security cannot be guaranteed currently on the Internet. Communication via the Internet is subject to being intercepted, lost or altered. You acknowledge and agree that Y2CP cannot be held responsible for damages resulting from the transmission of confidential information or personal information over the Internet and that such communications are at your own risk. You alone are responsible for protecting the confidentiality of your user ID and password as well as the confidentiality of any actions undertaken using your identifiers. Moreover, you are responsible for immediately notifying Y2CP about any unauthorized use of your user ID and password and any other security breach, as well as for taking every possible precaution to ensure that you use the Service under optimal security conditions.

3.2. Content of the Client

By publishing Content on the Service, the Client automatically grants, and warrants that the owner of such Content has expressly granted the royalty-free, perpetual, irrevocable, non-exclusive right and license to Y2CP to use, reproduce, modify, publish, translate and distribute such Content (in whole or in part) worldwide. The Client also permits any other user to access, view, store or reproduce the material for that user's personal use. The Client hereby grants Y2CP the right to edit, copy, publish and distribute any Content made available on the Service by the Client. No remuneration will be paid within the framework of the use of the Content. The Client shall use the Service for lawful purposes only. The Client may not post or transmit on or through the Service any Content (1) which violates or infringes in any way upon the rights of others such as the right to privacy or publicity rights, (2) which is unlawful, threatening, abusive, defamatory, vulgar, obscene or profane, (3) which encourages conduct that could be considered criminal or unlawful, and (4) or which, without express prior approval from Y2CP, contains advertising or solicitation. The Client must ensure that he/she has all the rights and permissions to use such Content in connection with the Service. Y2CP is not responsible for the actions you take with your Content, including its public release. Y2CP is not obligated by law to control the content or the information transmitted by the Client on the Service. The Client is solely responsible and understands the risks involved by agreeing to make his/her Content available on the Service. In the event of the cancellation of your subscription to the Service, we will be able to give you most of your Content in CSV format (compatible with Microsoft Excel) at your request and we may agree to store your data for a period of 12 months to facilitate your possible return; thereafter the data will be deleted.

4. Rights and payments

4.1. Use of the Service free of charge for job seekers

The use of the Service by job seekers is free of charge to apply for a job or complete their job seeker profile. Their profile is accessible to all client-employers who will contact them as needed.

4.2. Rights for the use of the services

In consideration of the above mentioned agreement, The Client agrees to pay to Y2CP an amount monthly or annually, as well as all applicable taxes, unless Y2CP is provided with a valid tax exemption certificate issued by competent tax authorities or any other document attesting to the tax exemption.

4.3. Subscriptions

Our Services for the use of the iRecruitment system are charged on a subscription basis ("Subscription"). This means that you will be charged in advance for a specific period (every period being called a "Billing cycle"). In line with the subscription chosen, the usual billing cycles are monthly or annually. Your Subscription will automatically be renewed at the end of every Billing cycle unless you cancel the automatic renewal by contacting our accounting department. You can cancel the automatic renewal of your Subscription at any time; however, your existing Subscription will remain in place until the end of the Billing cycle.

4.4. Payments and invoicing

You will be billed according to the Billing cycle you choose. The sums of money you paid are not refundable, unless otherwise provided herein or unless required by law. All invoices are payable upon receipt. The payment of any balance due must be made upon receipt of the statement.

4.5. Suspension and termination of services

4.5.1. Termination by the Client

If you cancel a Subscription during a Billing cycle, you will not be reimbursed for the period not used in that Billing cycle, unless the law requires that a refund be paid.

4.5.2. Termination by Y2CP

Y2CP may limit, suspend or discontinue access to the Service without notice in the event of non-compliance of these Terms of use by you (such as non-payment of amounts due) or if you use the Services in a way that affects our legal liability or disrupts the use of the Service by third parties. Y2CP may also suspend Service delivery if it suspects misconduct on your part. Y2CP has no obligation to retain your Content on termination of the Service.

4.5.3. Other measures

If Y2CP stops supplying you with Services because of repeated or obvious violations of the current Terms of use, Y2CP can take measures to prevent you from continuing to use the Service.

4.6. Rate change

Y2CP can change, at any time, the rates charged for the use of the Service. The change will come into effect only at the end of the Billing cycle of the current Subscription.

5. Account management

5.1. Protecting your password

It is your responsibility to protect your password and other identifiers used to access the account. You alone, not Y2CP are responsible for the activities that take place on your account other than the activities for which Y2CP is directly responsible. If you become aware of unauthorized access to your account, you should inform Y2CP immediately. The accounts should not be shared and can only be used by the Client. Suspension of system access for an employee who leaves the Client's business must be made by the Client immediately.

5.2. Updating your coordinates

Occasionally, Y2CP sends notices to the e-mail address associated with your account. You are asked to keep your e-mail address and your personal coordinates up to date so that they are always accurate.

5.3. Backups

A backup of your Content will be conducted regularly by Y2CP. Within the limits prescribed by law, Y2CP cannot be held responsible for a storage failure, loss or damage of your Content.

5.4. Inactivity of the account

Y2CP reserves the right to cancel your account and to delete your Content in case of non-payment.

6. Notice of disclaimer and limitation of liability

6.1. Disclaimer

Y2CP may limit, suspend or discontinue the Service at its discretion. Y2CP can delete any Content of the Service at any time at its discretion.

6.2. Exclusion of certain responsibilities

To the extent permitted by applicable law, Y2CP, its affiliates, directors, employees, agents, licensors and suppliers will not be liable for any indirect, consequential, special, incidental, punitive or exemplary damages, including any loss of revenue, loss of use, loss of data, for the services and current Terms of use, or in connection with them, regardless of the merits of the claim (contract, tort, strict liability), even though Y2CP has been advised of the possibility of such damages and even if the primary purpose of an action failed.

6.3. Downloadable materials and external websites

The Service may contain downloadable materials and hyperlinks enabling users to visit external websites. Y2CP has no responsibility or control over downloadable materials or external websites. You agree that Y2CP cannot and does not guarantee or confirm that files or software of any kind or any source that can be downloaded from the Service or an external website are free of viruses, worms, Trojan horses or incapacitating devices or other code that manifest contaminating or destructive properties.

7. Indemnification

The Client agrees to indemnify and hold harmless Y2CP, its affiliates, employees, representatives and administrators, from and against all claims and expenses, including reasonable fees for an attorney or legal representation, whether incurred by the Client or arising from the Client's use of the Service, in violation of the present Terms of Use, due to unacceptable or reprehensible conduct.

8. Trademarks and intellectual property

8.1. Trademarks

iRecruitment and its logo constitute registered trademarks of Y2CP, all rights reserved. The names of companies, organizations, products, domain names, email addresses, logos, people and events and all other trademarks that appear on the Service are the property of their respective owners. All rights not expressly granted herein are reserved.

8.2. Intellectual property

The Service and all Content of the Service, including but not limited to, images, photos, animations, text and incorporated "applets" are and will remain the property of Y2CP or its licensers. The Client can download, print and photocopy the pages and documents of the Service for his/her use only. Any other copying, whether electronic, paper or in another format is prohibited and all other rights are reserved. You may not copy, publish, broadcast, download, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on the Service without the prior written permission of Y2CP. In addition, you agree not to use any data mining, robots or similar extraction methods to data in the Service.

9. Other conditions

9.1. Third beneficiaries

There is no third beneficiary with respect to the current Terms of use.

9.2. Emails

The Client agrees that the Service send him various automatic emails about the Service.
